Administration & Governance
As a local electric cooperative, our consumers are member-owner in their cooperative. Administration and governance are more important and scrutinized topics today than ever before. Your electric cooperative is proud of its unique governance model and the administration designated to operate within it. We strive to keep our members informed of relevant information and updates while taking seriously our responsibility to keep the data of our members private and secure. Though often assumed to be a public entity, MTE is a private business that services a specific set of members.
Here is some useful information to help our members better understand the administration and governance of Middle Tennessee Electric. If you have any questions or comments, feel free to contact us to help.
Middle Tennessee Electric is led by a democratically elected group of members called the Board of Directors. These directors are responsible for selecting the MTE president and CEO tasked with directing and managing employees during daily cooperative operations.
To help our members find the information they are looking for, we’ve put together some helpful information for members regarding our leadership.
MTE's Bylaws are policies created when the cooperative was chartered. Bylaws are annually reviewed by the Board of Directors. Bylaws outline, for example, corporate legal standards such as membership requirements, Board of Directors credentials, and Annual Meeting rules of order. Bylaw changes must be approved through a vote of the membership at the Annual Meeting.
MTE's Rules and Regulations state business practices for the cooperative. They are reviewed as needed by the Board of Directors. The Board of Directors and the Tennessee Valley Authority (TVA) approve changes because they are the cooperative's two regulatory authorities.
To keep our members informed as a not-for-profit and local electric cooperative, we publish an annual statistical update and report. Check out the statistical update video below to see how we continue to grow. Members wishing to view the annual report can do so at any of our local offices.
The Annual Meeting is a signature of the cooperative business model. Held by Middle Tennessee Electric since 1936, it is a meeting for the members. It has historically been a time of fellowship, fun and business.
Among the key events at Annual Meeting are voting by members to fill seats of the cooperative’s Board of Directors and a business session, where fiscal-year statistical and financial information is highlighted.
